Management notes that the third and fourth quarters are historically stronger than the first half of the year. As a result, first-half performance should not be annualized on a straight-line basis. The transaction is expected to include the company’s brand and trademark, product designs and specifications, supplier and manufacturer relationships, customer and distributor relationships, e-commerce accounts, operating systems, product roadmap, and other assets required to continue the business. The treatment of cash, accounts receivable, inventory, working capital, debt, and intercompany arrangements will be subject to negotiation.
